Corporate Governance
Corporate Governance is the system by which companies are managed and monitored, encompassing the relationship between shareholders, Board of Directors, Committees, Executive Directors, independent auditors and the Fiscal Council. Good corporate governance practices, through transparent procedures in line with best business management, are intended to add value to the company, to facilitate its access to capital and to contribute to its development.
We have adopted a corporate governance policy that values transparency and the highest respect for the interests of all shareholders and other stakeholders in our businesses. All of our publicly traded companies – LLX, MMX, MPX, OGX and OSX – are listed on the BM & F BOVESPA’s “Novo Mercado” (“New Market”) in the segment of the stock market that has the strictest corporate governance requirements.
We of the EBX Group commit voluntarily to practices that exceed the underlying principles of good corporate governance – transparency, fairness, accountability and corporate and socio-environmental responsibility.
For example, the shareholder representatives on the Boards of Directors of our companies abstain from voting on matters where there is a conflict of interest or business involving more than one company of the EBX Group. Also, we disclose additional information in relation to what is required by the applicable laws and regulations and, in all our operations, we have implemented, from the very inception of each project, sustainable development practices that go beyond legal obligations.
Each company has the following bodies: Board of Directors, Audit Committee, and Board of Executive Directors, all governed by the respective laws and internal regulations, as well as by Corporate Law and the Civil Code.
Additionally, the bylaws of our companies provide for the setting up of a Fiscal Council, operating on a non-permanent basis, to act whenever necessary or as may be requested, by any one of our minority shareholders, in line with the requirements of Corporate Law.
We also rely on Management Committees, composed of representatives of all our publicly listed companies, which are subordinate to the Board of Directors of EBX Investimentos Ltda. These committees have the role of monitoring performance in Occupational Health, Safety and Environment for the Group companies and of setting guidelines.
Good governance is not a practice restricted to publicly traded companies; it permeates all businesses and initiatives of our Group. We seek constantly to blend agility, efficiency and quality in the decision-making processes of our senior executives, with the goals of achieving excellence in the management of our businesses and maximizing the returns to shareholders.
